1. Introduction & Agreement to Terms
These Terms of Service and End User License Agreement ("Terms", "Agreement") constitute a binding legal agreement between you ("User", "You") and Meridian Finance Labs ("Company", "We", "Us").
By downloading, installing, accessing, or using the Meridian desktop application, associated cloud services, or website at meridian-labs.finance (collectively, the "Software"), you agree to be bound by these Terms. If you do not agree to these Terms, do not install, access, or use the Software.
2. License Grant & Scope of Use
2.1 License Grant
Subject to your compliance with these Terms, the Company grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and execute the Software on desktop devices owned or controlled by you, solely for your personal, household financial management and record-keeping purposes.
2.2 License Restrictions
You shall not:
- Decompile, reverse engineer, disassemble, or attempt to derive the source code of any non-open component of the Software (except to the extent permitted by applicable Australian copyright law).
- Sublicense, sell, rent, lease, distribute, or commercially exploit the Software.
- Use the Software to provide financial services, bureau services, or credit advice to third parties for a fee without prior written consent.
- Modify or remove any proprietary copyright or trademark notices on the Software.
3. Data Architecture, Ownership & Privacy
3.1 Local-First Architecture & Data Ownership
Meridian is designed on a local-first privacy architecture:
- All financial data, including bank transactions, account balances, tax calculations, superannuation records, and mortgage profiles, is stored locally on your device in an encrypted SQLite database secured with ChaCha20-Poly1305 (256-bit key) encryption via SQLite3MultipleCiphers and wrapped with AES-256-GCM under your master password.
- The Company does not host, store, back up, or have access to your local financial database or master encryption keys.
- You retain 100% ownership of all financial data and statements you import or sync.
3.2 Responsibility for Master Passwords & Backups
You are solely responsible for safeguarding your master encryption password. The Software operates with zero-knowledge encryption; the Company cannot recover, reset, or bypass a lost master password.
You are responsible for maintaining regular backups of your encrypted local database using the in-app Backup & Restore utility or your personal cloud storage (e.g. iCloud, Google Drive).
3.3 Zero Data Hostage Guarantee
The Company guarantees that should your account access or testing period conclude:
- You will always retain the ability to open the Software in read-only export mode and export your complete historical data in standard, open formats (RFC 4180 CSV, PDF statements, and raw SQLite backup files).
- We will never hold your personal financial data hostage or restrict export access.
4. Beta Program & Consumer Guarantees
4.1 Beta Program Access
During the Meridian Beta period, access to the Software is provided to approved testers via invitation keys. The Software is provided for evaluation and feedback purposes to support ongoing testing and maintenance of Australian bank statement parsers and financial calculation engines.
4.2 Australian Consumer Law (ACL) Guarantees
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).
5. Open Banking & Consumer Data Right (CDR)
If you choose to connect live Australian bank feeds via our Open Banking integration:
- CDR Representative Model: Meridian operates as an authorized CDR Representative of our Accredited Data Recipient (ADR) partner (Fiskil), regulated by the Australian Competition and Consumer Commission (ACCC).
- Consent-Driven: Bank data is accessed strictly pursuant to your explicit, informed consent provided through your bank's secure authorization portal.
- 12-Month Limit: Under statutory CDR rules, bank consents expire after a maximum of 12 months. You may renew or revoke consent at any time via the in-app Consent Dashboard.
- No Credential Sharing: Meridian never requests, receives, or stores your bank login credentials or passwords.
6. Financial & Legal Disclaimer (ASIC RG 244)
Meridian is not a financial adviser, tax agent, or credit provider. The Software provides general factual information, mathematical estimations, and record-keeping tools only. Nothing in the Software constitutes personal financial product advice under the Corporations Act 2001 (Cth) or personal taxation advice under the Tax Agent Services Act 2009 (Cth).
7. Governing Law
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising under or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia.
